Due to the growth of our Capital Strategies business, we are recruiting an additional lawyer to join the HQ legal team and to support the existing lead counsel for capital strategies. Accordingly, this position supports VFS capital markets activities globally and reports directly to the Vice President, Senior Counsel for Global Capital Strategies. The position will be closely supported by the local and regional legal teams and business representatives in the assessment and execution of all legal aspects of VFS’ capital markets activities.
Legal support for capital market and structured finance transactions globally, in particular, supporting the VP Senior Counsel for Global Capital Strategies to include: Retail and Floorplan ABS securitizations for term and master trust transactions, export finance solutions, conduits, covered bonds, non-recourse loans, wholesale participations and retail syndications; and leveraged finance portfolio sales.
Effectively working with and managing internal and external legal resources to maximize shareholder value in the delivery of required capital markets legal work product.
Acting as an additional point of contact within the VFS Global Capital Strategies function towards other Volvo Group legal departments including, Volvo Treasury and AB Volvo Corporate Legal, as needed or as directed.
Working cross-functionally within VFS at all levels with departments such as tax, accounting internal audit and innovation strategies.
Developing, implementing and documenting legal and regulatory “best practices” for the VFS Global Capital Strategies function and local VFS market operations throughout the lifecycle of the structured finance solution from execution, periodic regulatory reporting, and termination.
Supporting new market entry and product development for capital markets globally.
Continually monitoring and assessing the legal and regulatory environment in our active and target markets and advising on the impact of anticipated regulatory change on capital markets strategy implementation.
You will be able to summarize complex legal and regulatory matters into concise, actionable advice for company executives.
You will support the engagement and interaction with relevant external financial services industry groups in the Americas, Europe and Asia, in coordination with AB Volvo Group legal and lobbying efforts.
As part of the global Legal and Compliance Function for VFS you may, occasionally, be asked to support the VP Senior Counsel for Global Capital Strategies and the SVP General Counsel of VFS as required on other general legal and compliance matters.
EDUCATION and LICENSE REQUIREMENTS:
JD (Doctor of Jurisprudence) from an ABA-accredited school.
Currently licensed to actively practice law and in good standing with at least one state. NY bar admission a plus.
A minimum of ten years’ experience in a combination of asset-backed structured finance (including securitizations), securities and banking, and equipment leasing/financing and commercial transactions, preferably with a mix of large firm or finance boutique firm practice and in-house experience.
Experience representing issuers within the prior two years in securitizations, syndications, and portfolio sales; preferably involving commercial equipment and/or the transportation industry.
Familiarity with the global financial services and securities regulatory environment and other compliance issues affecting a multi-national financial services entity.
Experience with non-US based transactions, with a preference for experience transacting in developed capital markets venues in Europe or Asia.
Ability to interact with all levels of employees practicing excellent interpersonal and communication skills, integrity and attention to detail.
Ability to organize and prioritize work effectively on multiple tasks with minimal supervision on multiple transactions in a demanding environment.
Ability to work as a partner to business colleagues and offer practical advice on finding solutions to legal and compliance issues within the framework of supporting the transaction.
Excellent computer skills and proficiency with Excel, PowerPoint, Word and other PC Applications.
Flexibility and adaptability with proactive, service-oriented approach.
Innovative problem solving and analytical skills.
Ability to work in a multi-national and multi-cultural matrixed organization.
Ability to use capital markets experience and well-developed core knowledge of securities law to drive the legal framework evaluation and execution alternatives in unfamiliar/new markets.
Occasional international travel may be required.
